@klye promised us a second layer that could collateralize this, but hasn't delivered it, yet.
The Howey test doesn't seem to to be applicable.
An investment is a security if all 4 apply:
3 and 4 clearly don't apply.
I'm guessing the coding and testing would be minimal.
